You, the user, acknowledge that you do not acquire any ownership or rights by utilizing the Site or Service. The site and content featured on it is subject to copyright protection unless otherwise indicated. This protection of copyright does not extend to any material on the Site which is identified as the property of a third party. All content (including without limitation any pictures, logos, images, text, and podcasts) appearing on the Service is our property or the property of our licensors or suppliers and is protected by copyright law, in Iceland and other countries. You agree not to use, display, reproduce, retransmit, modify, distribute, disseminate, sell, publish, create derivative works of, broadcast, circulate, display or in any way exploit any such content (including any copyrighted material, trademarks, or other proprietary information), in whole or in part, whether by e-mail or by any other means. Trademark law protects the public's ability to rely on trademarks for information about product source and quality, requiring trademark owners to take steps to police proper use of their marks. Controlant has registered trademarks or has otherwise sought protection as indicated below in Iceland, the U.S., and other countries. We have done this to protect and preserve the marks for our community of customers and partners for the benefit of everyone involved with Controlant. By this we mean that people should be able to recognize when a product is from Controlant. You may use the Controlant trademarks below in any news article, blog, or on your website without our written consent, as long as you use them according to this guideline and retain the ® symbol or ™ symbol as applicable on the right shoulder of the mark. You may use the Controlant logo in a blog or news article, publication, book or other online or offline medium, or on your website without our written consent, provided that the logo is duplicated exactly as shown in the preceding link, and the ® symbol (or the ™ symbol, as applicable) attached to the shoulder of the logo as in the attached link is retained. All other usages of the Controlant logo require the written approval of Controlant. In addition to trademarks and service marks, Controlant has developed artwork, screenshots, and imagery for our website and other web properties. Controlant's "look" or "feel" should not be reproduced or mimicked for the same reasons cited above: customers can be confused about whether they're dealing with Controlant or another company. The Controlant website and all intellectual property rights, including all Copyright rights therein, are owned by Controlant. Reproduction or "creative borrowing" of the website or artwork without permission is a violation of Controlant's Copyright. Controlant product documentation has been released under the Danish Creative Commons Attribution License and retains the permissions and rights granted under Creative Commons.
To the extent permitted by applicable law, you agree to, at your expense, indemnify, defend, and hold Controlant, our subsidiaries, affiliates, officers, directors, employees, share- and stakeholders harmless, from any and all third-party claims, actions, suits, and proceedings. This applies to liabilities, losses, damages, settlements, penalties, fines, costs or expenses, including, but not limited to reasonable attorneys' fees and other litigation expenses incurred by Controlant or any of the aforementioned parties due to, relating to or arising out of your use or misuse of the Site or Service, any violations or breaches of this Agreement, any violation of laws, rules or regulations in connection with the Controlant Service and Site or of the rights of third-parties, any representations and warranties made by you concerning any aspect of the Service, any claims made by or on behalf of any Third Party pertaining directly or indirectly to your use of the Service, violations of your obligations of privacy to any Third Party and any claims with respect to acts or omissions of any Third Party in connection with the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defense.
Unless otherwise stated, This Agreement shall be governed by and construed in accordance with the laws of Iceland. You hereby submit to exclusive jurisdiction in the Icelandic Courts. You agree to receive service of process through e-mail, certified mail or by other means sanctioned by law, and you expressly waive any claim of improper venue and any claim that such courts are an inconvenient forum. Please note that your use of the Service may be subject to other local, state, national, and international laws.
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement may be automatically assigned by us, in our sole discretion, to a third party. Section headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. The provisions of this Agreement will survive termination or expiration to the extent necessary to carry out the intentions of the parties. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
